Standard Terms Of Sale

1. Interpretation

1.1 In these Conditions:”Buyer” (you) means the person who accepts a quotation of the Seller for the sale of the Goods or whose order for the Goods is accepted by the Seller.”Conditions” means the terms and conditions set out herein and (unless the context otherwise requires) includes any special terms and conditions agreed in writing between the Buyer and the Seller.”Contract” means the contract for the purchase and sale of the Goods made between the Buyer and the Seller.”Goods” means the goods (including any instalment of the goods or any parts for them) which the Seller is to supply in accordance with the Contract.”Seller” means E-Trix Pte Ltd (UEN 201118713D).”Writing” includes telex, cable, facsimile transmission and comparable means of communication.

1.2 Any reference in these Conditions to any provision of a statute shall be construed as a reference to that provision as amended, re-enacted or extended at the relevant time.

1.3 The headings in these Conditions are for convenience only and shall not affect their interpretation.

2. Sales Order

2.1 All Sales Orders submitted to E-Trix Pte Ltd are subject to our acceptance. Sales Order acceptance and the completion of the contract between Buyer and E-Trix Pte Ltd will take place on the dispatch to you of the purchased Goods, and until that time we reserve the right to reject your Sales Order. E-Trix Pte Ltd shall be entitled to cancel or terminate the obligations to fulfil any Sales Order, for any reason whatsoever, even after a Sales Order is confirmed by, and paid for by the customer, with or without notice and we shall not be liable to any party for such termination or cancellation. In such event, we shall refund to the customer the price of the Goods purchased.

3. Price Of The Goods

3.1 The price of the Goods shall be the Seller’s quoted price or, where no price has been quoted (or a quoted price is no longer valid), the price listed in the Seller’s published price list current at the date of acceptance of the order. All prices quoted are valid for 7 days only or until earlier acceptance by the Buyer, after which time they may be altered by the Seller without giving prior notice to the Buyer.

3.2 The Seller reserves the right, by giving notice to you at any time before delivery, to increase the price of the Goods to reflect any increase in the cost to the Seller which is due to any factor beyond the control of the Seller (such as, without limitation, any foreign exchange fluctuation, currency regulation, alteration of duties, significant increase in the costs of labour, materials or other costs of manufacture), any change in delivery dates, quantities or specifications for the Goods which is requested by the Buyer, or any delay caused by any instructions of the Buyer or failure of the Buyer to give the Seller adequate information or instructions.

3.3 The price is inclusive of any applicable Goods and Services Tax (GST), which the Buyer shall be additionally liable to pay to the Seller.

4. Terms of Payment

4.1 Unless otherwise stated, all payments will be either COD (cheque or cash on delivery) or Online Bank Transfer.

5. Delivery

5.1 Any dates quotes for delivery of the Goods are approximate only and the Seller shall not be liable for any delay in delivery of the Goods however caused. Time for delivery shall not be of the essence of the Contract unless previously agreed by the Seller in writing. The Goods may be delivered by the Seller in advance of the quoted delivery date upon giving reasonable notice to the Buyer.

5.2 Where delivery of the Goods is to be made by the Seller in bulk, the Seller reserves the rights to deliver up to 100 per cent more or 50 per cent less than the quantity ordered without any adjustment in the price, and the quantity so delivered shall be deemed to be the quantity ordered.

5.3 If you choose for the Goods to be delivered to you, delivery charges on per Sales Order will be charged for delivery (based on total amount purchased) and added to the price of your Goods and reflected in your Sales Order. All Goods purchased from E-Trix Pte Ltd will only be delivered to addresses within Singapore Main Island only (Excluding Jurong Island, Army Camps, Changi Airport, Sentosa Island, Tuas and Fishery Ports; and Restricted Areas, eg; Government Facility). No delivery will be made outside Singapore or to post office boxes.

5.4 We will not be held liable for any missing parcels signed for and delivered to non-residential or office addresses e.g. Front Desk/Mail Room/Reception Area and in the event when the wrong/inaccurate address was provided.

5.5 Delivery will be made within 1-3 working days after your order has been confirmed. Delivery is only available from Monday to Friday between 9am-6pm, excluding Saturday, Sunday and Public Holidays.

6. Sales Cancellation

6.1 E-Trix Pte Ltd reserves the right to refund you the Price of any Goods which have been paid and received by E-Trix Pte Ltd, even after the relevant Sales Order is confirmed and payment has been received by us, in lieu of delivery or supply of such Goods. We regret that confirmed orders are subjected to a minimum 30% charge of purchase order or at E-Trix’s discretion.

7. Products Warranty

7.1 With respect to Goods purchased with E-Trix Pte Ltd, we make no warranties.

7.2 With respect to Goods sold on an “as is where is” basis, unless the manufacturer, or supplier, of such Goods has issued a warranty in respect of such Goods, in which case such Goods are supplied and sold with the warranties issued and granted by the manufacturer, or supplier, of such Goods only. You hereby agree to look solely to such manufacturer, or supplier, for any claims related to such warranties.

8. Limitation of Liability

8.1 These terms and conditions set out the full extent of our obligations and liabilities in respect of the supply of the Goods and performance of any services in relation thereto and there are no other warranties, conditions or terms that are binding on us except as expressly stated herein. Any warranty, condition or term concerning the Goods which might otherwise be implied or incorporated in these terms and conditions by statute, common law or otherwise is hereby expressly excluded. Notwithstanding the foregoing, nothing in these terms and conditions (a) excludes, restricts or modifies any condition, warranty, right or liability implied into these terms and conditions (including any condition, warranty, right or liability imposed by the Unfair Contracts Terms Act (Cap. 396)) where to do so is illegal or would render any provision hereof void; or (b) shall limit or exclude any liability for death or personal injury caused by our negligence.

8.2 Subject to the foregoing, we shall not be liable for any loss of income, loss of profits, loss of contracts, loss of data or for any indirect or consequential loss or damage of any kind howsoever arising and whether caused by tort (including negligence), breach of contract or otherwise. Our maximum aggregate liability hereunder whether in contract, tort (including negligence) or otherwise shall in no circumstances exceed the price of the Goods paid by you to us.

9. Variation

9.1 We reserve the right to amend, vary and change these terms and conditions at our discretion at any time without any notice to you. Each time you use the E-Trix Pte Ltd website, you should visit and review the then current Conditions of Use, Legal Notices and Privacy Policy that apply to your transactions and use of this site. If you are dissatisfied with E-Trix Pte Ltd, its content or Conditions of Use and Legal Notices, you agree that your sole and exclusive remedy is to discontinue using the E-Trix Pte Ltd website. Your continued use of the E-Trix Pte Ltd website and submission of any Sales Order or other requests to us shall be construed as your acceptance of any such amendments, variations and changes to these terms and conditions.

10. Disclaimers

10.1 By using the E-Trix Pte Ltd website, you expressly agree that use of the E-Trix Pte Ltd website is at your sole risk. E-Trix Pte Ltd is provided on an “AS IS” and “as available” basis. Neither E-Trix Pte Ltd nor affiliates, subsidiaries or designees nor each of their respective officers, directors, employees, agents, third-party content providers, designers, contractors, distributors, merchants, sponsors, licensors or the like (collectively, “Associates”) warrant that use of the E-Trix Pte Ltd website will be uninterrupted or error-free. Neither E-Trix Pte Ltd nor its Associates warrant the accuracy, integrity or completeness of the content provided on E-Trix Pte Ltd or the products or services offered for sale on E-Trix Pte Ltd. Further, E-Trix Pte Ltd makes no representation that content provided on E-Trix Pte Ltd is applicable to, or appropriate for use in, locations outside of the Republic of Singapore. E-Trix Pte Ltd and its Associates specifically disclaim all warranties, whether expressed or implied, including but not limited to warranties of title, merchantability or fitness for a particular purpose. No oral advice or written information given by E-Trix Pte Ltd or its Associates shall create a warranty.

10.2 Under no circumstances shall E-Trix Pte Ltd or its Associates be liable for any direct, indirect, incidental, special or consequential damages that result from your use of or inability to use the E-Trix Pte Ltd website, including but not limited to reliance by you on any information obtained from E-Trix Pte Ltd that results in mistakes, omissions, interruptions, deletion or corruption of files, viruses, delays in operation or transmission, or any failure of performance. The foregoing Limitation of Liability shall apply in any action, whether in contract, tort or any other claim, even if an authorized representative of E-Trix Pte Ltd has been advised of or should have known of the possibility of such damages. User hereby acknowledges that this paragraph shall apply to all content, merchandise and services available through the E-Trix Pte Ltd website.

11. Governing Law

11.1 These terms and conditions shall be governed by the law of Singapore. Both we and you irrevocably and unconditionally submit to the non-exclusive jurisdiction of the courts of Singapore.
